1. Introduction : These Terms and Conditions ("Terms") govern your access to and use of the website amwal.solutions (the "Website") and the general engagement with services offered by Amwal W.L.L. ("Amwal", "we", "us" or "our"). The Services include Accounting & Bookkeeping, Internal Audit & Risk Management, Virtual CFO & Financial Consultancy, and Odoo ERP Implementation and support services. By accessing the Website or engaging Amwal for Services, you agree to be bound by these Terms.
2. About Amwal: Amwal W.L.L. is a Bahrain-registered financial consultancy and Odoo implementation company providing accounting, audit, advisory and ERP implementation services to businesses in Bahrain and across the GCC.

3. Use of website:
3.1 The Website and its content (text, graphics, logos, layout) are provided for general informational purposes only and do not constitute professional advice.
3.2 You agree not to misuse the Website, including but not limited to: attempting unauthorized access to our systems, introducing malicious code, or using the Website in a way that could damage, disable, or impair it.
3.3 All content on the Website — including the Amwal name, logo, and brand elements — is the property of Amwal W.L.L. and may not be reproduced or used without prior written consent.
4. Engagement of Services:
4.1 Separate Engagement Terms : These Terms describe our general relationship with visitors and prospective clients. The specific scope, deliverables, fees, and timelines for any engagement (e.g., an Odoo implementation project, an audit engagement, or a bookkeeping retainer) will be set out in a separate written proposal, statement of work ("SOW"), or engagement letter signed by both parties. In the event of a conflict between these Terms and a signed engagement letter/SOW, the engagement letter/SOW prevails for that engagement.
4.2 No Automatic Engagement: Submitting an inquiry, requesting a consultation, or contacting Amwal through the Website does not, by itself, create a client relationship or obligate Amwal to provide Services.
4.3 Client Responsibilities: You agree to provide accurate, complete, and timely information (financial data, business records, system access, etc.) reasonably required for Amwal to perform the Services. Amwal is not responsible for delays, errors, or inaccuracies arising from incomplete or incorrect information provided by the Client.
4.4 Fees: Fees for Services are quoted separately per engagement and are not published on the Website. Any pricing shared informally (e.g., in conversation) is indicative only and not binding until confirmed in a signed proposal or invoice.
5. Odoo Implementation & Technical Work:
5.1 Where Services involve implementation, customization, or support of Odoo ERP systems, work will generally follow a staged process (e.g., development/testing environment before production deployment), as agreed in the relevant SOW.
5.2 Amwal will seek Client approval before deploying material changes to a live/production environment, in line with the scope agreed for that engagement.
5.3 The Client is responsible for maintaining appropriate backups and for reviewing and testing deliverables in a staging environment before go-live, unless otherwise agreed in writing.
6. Professional & Advisory Limitations:
6.1 General information provided on the Website or in preliminary discussions (including via any AI-assisted chat tool on the Website) is for general guidance only and does not constitute formal accounting, tax, audit, or legal advice on your specific circumstances.
6.2 Definitive conclusions on VAT treatment (Bahrain NBR), KSA ZATCA e-invoicing compliance, LMRA matters, or other regulatory questions specific to your business require a formal consultation and engagement with our qualified team (including our Chartered Accountant-led practice).
6.3 Nothing on the Website should be relied upon as a substitute for professional advice tailored to your actual accounts, filings, or business situation.
7. Confidentiality:
Amwal treats client financial records, business data, and system configurations as confidential and will not disclose them to third parties except: (a) as required to perform the Services, (b) with the Client's consent, or (c) as required by law or regulation. Confidentiality terms for a specific engagement may be further detailed in the applicable engagement letter or a separate NDA.
8. Intellectual Property:
8.1 Pre-existing tools, frameworks, templates, or custom modules developed by Amwal (including generic/reusable Odoo modules) remain the intellectual property of Amwal unless otherwise agreed in writing.
8.2 Client-specific data, records, and configurations remain the property of the Client.
8.3 Ownership of custom deliverables built specifically for a Client engagement will be addressed in the applicable SOW.
9. Limitation of Liability:
9.1 To the maximum extent permitted by applicable law, Amwal shall not be liable for any indirect, incidental, special, or consequential damages arising from use of the Website or general pre-engagement communications.
9.2 Liability arising from a specific engagement (e.g., an accounting, audit, or implementation project) is governed by the terms of the relevant signed engagement letter or SOW, which may include agreed liability caps.
9.3 Nothing in these Terms excludes liability that cannot be excluded under Bahrain law.
10. Third-Party Links:
The Website may contain links to third-party websites or services. Amwal is not responsible for the content, accuracy, or practices of any third-party site.
11. Governing Law & Jurisdiction:
These Terms are governed by the laws of the Kingdom of Bahrain. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts of Bahrain, without prejudice to any dispute resolution mechanism (e.g., arbitration) specified in a signed engagement letter.
12. Changes to These Terms
Amwal may update these Terms from time to time. The updated version will be posted on the Website with a revised "Last updated" date. Continued use of the Website after changes constitutes acceptance of the revised Terms.
